Terms & Conditions - Cloud Services

These Terms and Conditions govern the provision of cloud services by PeaSoup Cloud via authorised partners.
1. Acceptance of Terms
By placing an order through an authorised partner (including Arrow), or by accessing or using our services, you confirm that you:
- Have read and understood these Terms
- Agree to be legally bound by them
These Terms form a Master Services Agreement covering all services provided by PeaSoup.
2. Definitions
Key terms used throughout this document:
- Customer – Entity purchasing services via an authorised partner
- Services – Includes:
- S3-compatible Object Storage
- Veeam Cloud Connect Backup & Replication
- Customer Data – Any data stored, transmitted, or processed using the Services
- Platform – PeaSoup Cloud infrastructure, systems, and storage environment
- Uptime – Availability of services
- Downtime – Periods where services are unavailable
- Support Ticket – Request submitted via the support system

3. Contract Basis & Term
- A contract is formed when services are provisioned or activated
- Services begin upon activation
- Duration is defined by the applicable order
- Customer terms do not apply unless explicitly agreed in writing
4. Channel Partner Model
Where services are purchased via a partner:
- The partner manages:
- Pricing
- Billing
- Collections
- PeaSoup:
- Has no direct billing relationship
- Is responsible only for service delivery
5. Service Term
Services continue for the duration of the order unless terminated under these Terms or partner agreements.
6. Service Provider Obligations
PeaSoup will:
- Deliver services with reasonable skill and care
- Follow UK cloud industry standards
- Provide guidance and relevant information
- Scale resources upon request (subject to minimum requirements)
⚠️ Services are delivered on shared infrastructure and are not guaranteed to be uninterrupted or error-free.
7. Customer Responsibilities
Customers are responsible for:
- System configuration and security
- Access credentials and API keys
- Applications and operating systems
- Legal compliance
- Maintaining backups (unless included in the service)
Prohibited Activities
Customers must NOT:
- Send spam or unsolicited communications
- Distribute illegal or copyrighted content
- Attempt to:
- Disrupt services (e.g. DDoS attacks)
- Bypass security
- Conduct unauthorised scanning/testing
- Upload malicious software or harmful data
Enforcement
PeaSoup may:
- Suspend services
- Issue warnings
- Report violations to authorities
8. Security & Suspension
Services may be suspended immediately if:
- There is a security or operational risk
- Required by law or regulatory authority
This does not automatically terminate the agreement.
9. Service Levels (SLA)
- Target uptime: 99.95%
- Downtime must be reported via support ticket
- Service credits:
- 5% per 30-minute outage
- Capped at 100% of monthly service value
SLA Exclusions
Does not apply to:
- Customer misconfiguration
- External failures
- Cyberattacks
- Scheduled maintenance
10. Scheduled Maintenance
- Typically notified 48 hours in advance
- Emergency maintenance may occur without notice
- Efforts made to minimise disruption
11. Confidentiality
Both parties agree to:
- Protect confidential information
- Use it only for service delivery
- Not disclose it unless legally required
Confidentiality obligations continue:
- During the contract
- For 3 years after termination
12. Intellectual Property & Data
- Customer retains ownership of all data
- PeaSoup is granted limited rights to process data for service delivery
- PeaSoup retains all platform IP
13. Termination
Services may be terminated:
- With 30 days’ notice (on anniversary)
- Immediately for:
- Breach
- Insolvency
- Legal requirements
14. Post-Termination
Customers must:
- Remove all data before termination
- Delete all storage buckets
PeaSoup may:
- Allow limited extension for data removal
- Permanently delete remaining data after termination
⚠️ Data under retention/immutability policies cannot be deleted early.
15. Liability
PeaSoup is not liable for:
- Loss of profits or revenue
- Data loss or corruption
- Indirect or consequential damages
Maximum liability is limited to:

16. Force Majeure
Neither party is liable for failure due to events outside reasonable control, including:
- Power outages
- Natural disasters
- War or civil unrest
- Network failures
17. General Terms
- These Terms override all previous agreements
- PeaSoup may update Terms with notice
- Invalid clauses do not affect the rest
18. Legal Framework
- No partnership or agency is created
- Notices may be sent via email or portal
- Terms governed by the laws of England and Wales
19. Data Protection
- Customer = Data Controller
- PeaSoup = Data Processor
PeaSoup will:
- Protect personal data
- Notify breaches promptly
- Support compliance obligations
Data may be transferred internationally with appropriate safeguards.
